These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) (Company No. [To be inserted]) ("Company", "we", "us", or "our"), the owner and operator of the LegalDraft AI platform ("Platform", "Service", or "App").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using the Platform.

1. Nature of the Service

1.1. LegalDraft AI is an AI-assisted legal document drafting tool that uses artificial intelligence models (including but not limited to Claude by Anthropic, GPT by OpenAI, and Gemini by Google) to generate legal document drafts based on user inputs.

1.2. The Platform is designed to help users create preliminary drafts of legal agreements. It does NOT provide legal advice, legal representation, or legal opinions.

2. No Lawyer-Client Relationship

2.1. No lawyer-client relationship, fiduciary duty, or professional engagement is created between you and LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) through your use of the Platform.

2.2. The use of the word "Lawyer", "Legal", or similar terminology in the Platform's branding, marketing, or interface is purely descriptive of the tool's function and does NOT imply the provision of licensed legal services.

2.3. LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) is not a legal practice registered under the Legal Profession Act 1976 (Malaysia) and does not hold a valid practicing certificate issued by the Malaysian Bar Council.

3. Limitation of Liability

3.1. No Warranty. The Platform and all documents generated are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

3.2. No Liability for Outcomes. LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) shall NOT be liable for any:

• Loss, damage, claim, or liability arising from the use, reliance on, or execution of any document generated by the Platform;
• Errors, omissions, inaccuracies, or AI hallucinations in generated documents;
• Legal disputes, regulatory penalties, lawsuits, or enforcement actions resulting from the use of generated documents;
• Financial losses, business losses, loss of profits, loss of contracts, or consequential damages of any nature;
• Non-compliance with any law, regulation, or legal requirement in any jurisdiction;
• Tax implications, stamp duty assessments, or regulatory filings arising from executed agreements.

3.3. Cap on Liability. In any event, the total aggregate liability of LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) to any User for all claims arising out of or relating to the use of the Platform shall not exceed the total fees paid by the User in the twelve (12) months preceding the claim, or Ringgit Malaysia One Hundred (RM 100.00), whichever is lower.

3.4. Third-Party AI Models. The Platform utilizes third-party AI models. LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) does not warrant the accuracy, reliability, or suitability of outputs from these models and accepts no liability for errors or hallucinations produced by such models.

4. User Responsibilities

4.1. You acknowledge and agree that:

• All documents generated are preliminary drafts only and require review by a qualified legal professional before execution;
• You are solely responsible for verifying the accuracy, completeness, legality, and suitability of any generated document;
• You will not rely on any document generated by the Platform as final legal documentation without independent legal review;
• You will not hold LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) responsible for any loss arising from the execution of unreviewed AI-generated documents;
• You are responsible for ensuring compliance with all applicable laws, including but not limited to the Contracts Act 1950, Companies Act 2016, Stamp Act 1949, Employment Act 1955, Personal Data Protection Act 2010 (PDPA), and all other applicable Malaysian statutes.

5. Data Privacy & Security

5.1. All data entered into the Platform is processed locally in your browser. LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) does NOT store, transmit, or access your document content on its servers (in the current client-side version of the Platform).

5.2. When using AI model APIs, your input data is transmitted directly from your browser to the respective AI provider (Anthropic, OpenAI, or Google). LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) is not responsible for how these third-party providers handle your data. Users should review the privacy policies of each provider.

5.3. API keys provided by users are stored locally in the browser's localStorage. Users are responsible for the security of their own API keys and devices.

5.4. We comply with the Personal Data Protection Act 2010 (PDPA) of Malaysia with respect to any personal data we do collect.

6. Intellectual Property

6.1. The Platform's code, design, templates, user interface, educational content, and branding are the intellectual property of LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd).

6.2. Documents generated by the Platform using your inputs belong to you. However, the underlying AI models, templates, and legal frameworks used to generate them remain the property of LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) and the respective AI providers.

7. Subscription & Payments

7.1. The Platform may offer free and paid subscription tiers. Details of each tier, including pricing, features, and limitations, are displayed on the Platform's Pricing page.

7.2. All payments are processed through authorized third-party payment processors (e.g., Stripe). Serreno Sdn Bhd does not store credit card information.

7.3. Refund policy: All subscription fees are non-refundable unless required by applicable law or at the sole discretion of the Company.

8. Acceptable Use

8.1. You agree NOT to use the Platform to:

• Generate documents for illegal, fraudulent, or deceptive purposes;
• Create agreements that violate public policy, applicable law, or regulations;
• Misrepresent AI-generated documents as having been drafted or reviewed by a licensed lawyer;
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform;
• Circumvent usage limits, access controls, or security mechanisms.

9. Indemnification

9.1. You agree to indemnify, defend, and hold harmless LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd), its directors, officers, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Platform or any document generated thereby;
• Your violation of these Terms;
• Your violation of any third-party rights or applicable law;
• Any dispute arising from the execution of documents generated by the Platform.

10. Governing Law & Dispute Resolution

10.1. These Terms shall be governed by and construed in accordance with the laws of Malaysia.

10.2. Any dispute arising out of or in connection with these Terms shall first be referred to mediation administered by the Asian International Arbitration Centre (AIAC). If mediation fails within thirty (30) days, the dispute shall be referred to arbitration under the AIAC Rules.

10.3. The seat of arbitration shall be Kuala Lumpur, Malaysia. The language of arbitration shall be English.

10.4. Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief from any competent court.

11. Modification of Terms

11.1. LegalDraft AI Sdn Bhd (formerly Serreno Sdn Bhd) reserves the right to modify these Terms at any time. Changes will be effective upon posting on the Platform. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

12. Severability

12.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

13.1. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Serreno Sdn Bhd regarding the use of the Platform and supersede all prior agreements.
